Loyalty Rewards Program Terms & Conditions

The GSRP Loyalty Program (the “Program”) sponsored by GROF USA Distributors Inc.(“GROF USA”) is designed to help you get the most out of your membership. We reward you for doing the things you already do: shop at GROFUSA.com (the “Site”), purchase supplies for your projects at any of our stores (the “Store”), use our design services, refer friends to GROF USA, and by sending us feedback on your purchases / our services. Best of all, you can use the points you earn to purchase more products!

The following Terms and Conditions (these “Loyalty Program Terms and Conditions”) contain important information regarding the Program. Please read the following Loyalty Program Terms and Conditions carefully. These Loyalty Program Terms and Conditions are incorporated into the Site Terms and Conditions. Acceptance of the Site Terms and Conditions includes acceptance of these Loyalty Program Terms and Conditions. These Loyalty Program Terms and Conditions are a binding agreement between you and GROF USA and will govern your participation in any and all Program offers.

Participating in the Program entitles members (“Members”) to take advantage of certain Program rewards (“Rewards”) that may change from time to time and, which may be made available for limited times, all as determined by GROF USA in its sole discretion. GROF USA reserves the right to unilaterally modify these Loyalty Program Terms and Conditions at any time, without notice to you, so it is important to check the Loyalty Program Terms and Conditions periodically. Participation in the Program or redemption of Rewards is considered acceptance of these Loyalty Program Terms and Conditions and any modified terms included therein.

 

Upon notice, GROF USA may, in its sole and absolute discretion, cancel, change, suspend or modify any aspect of the Program or any Program Reward at any time, including the availability of any Program Reward.

 

Program Period

This Program will continue until terminated, suspended, modified, or converted to another rewards program by GROF USA (the ”Program Period”).

 

Eligibility

To become a Member of the Program, you must be a legal resident of the fifty (50) United States, the District of Columbia, Guam, Puerto Rico, or the US Virgin Islands and be 18 years of age or older. To enroll in the Program, you need to have registered and accepted for a GROF USA Pro account.

 

Earning GROF USA

Once you have become a Member, you can begin racking up GROF USA points(“Points”) the following ways:

Subscribe – just by subscribing, and being approved, to a GROF USA Pro account.

Appointments – every time you use GROF USA’s design consultants services, either in person or virtual.

Project specifications – This is a unique and special feature, each product specified for a project will give points to that designer / architect (decision maker).

CEU’s – every time you subscribe to and attend one of GROF USA’s or its brands CEU’s you will rack points after confirming attendance.

GROF USA trainings – GROF USA will award points to each of the decision makers that subscribed to a specific training in one of its brands after confirming attendance.

Social Media – once you follow GROF USA’s social media accounts and comment on their posts.

Surveys – after completing one of GROF USA’s periodical surveys.

Shop, shop — every time you purchase a product from us (the “Shop”) or a gift subscription, you earn points for every order (excluding tax, shipping charges and fees). These programs may change periodically at GROF USA’s sole discretion. The amount of points per dollar will regularly change so continuously check in to ponemosla pagina web to get the latest on points.

Refer friends —for every friend who signs up for a GROF USA trade account you will earn points after they successfully check out their first purchase. These programs may change periodically at GROF USA’s sole discretion. Design program – the first time you use our design program services you will receive points. These programs may change periodically at GROF USA’s sole discretion. Depending on the program, once you check out products from the design program, you will be entitled to a multiplier based on the design program you subscribed to.

Upon notice, GROF USA reserves the right to suspend, terminate, revalue or modify, without liability to Members, all or part of the Points’ value structure and offers and any merchandise or service. GROF USA reserves the right to adjudicate all Points discrepancies in its sole discretion, and the Members agree to abide by any such adjudication. You can check your GROF USA Points balance on your account page.

 

GROF USA Points Redemption

The Points are redeemable towards purchases of any product from GROF USA in any increment. You can redeem your Points during the checkout process. You may not use Points to purchase Design Consultancy Services . To redeem your Points in person simply let our design consultants know your Account Number and they will do it for you! At the Site, simply add items to your shopping cart, and click the “Checkout” button (if you’re not already signed in, the next screen will prompt you to sign in to your account). Continue through the checkout process. When you get to the Payment Details section, you’ll see a box that says “Use GROF USA Points” When you click it, your Points will be used you will be given a code. Use this code on the Coupon Code Box and the dollar value will be deducted from your order total. Done!

Points are available for redemption for the purchase of products only while supplies last. Product quantities may be limited. If you choose to apply Points to your purchase, you will not able to select the amount of your Points that are applied to the order. If you have more Points than are necessary to complete a purchase, the appropriate number of Points will be applied and deducted from your account to complete the purchase; points not needed to complete the purchase will remain in your account. If you have Points in your account, but not enough to complete the purchase, all Points in your account will be applied to the purchase. You will be asked to select another form of payment to cover the remaining balance. For example, if a Member has a $100 order in her cart, and has the equivalent to $50 in Points, she may apply her Points to the purchase and pay the remainder with her credit card. In this same scenario, She may NOT use the equivalent of $30 in Points towards the purchase and pay the balance with her credit card.

 

Refunds & Returns

Any items received as a result of Points redemption may only be exchanged for a refund of the applicable Points redeemed for such item (not cash or credit). Purchases made with Points will ship in the normal course of business.

Points earned via purchases on the Site will be rescinded in the event that such purchase is returned for a refund.

Points earned via purchases at any of GROF USA locations will be rescinded in the event that such purchase is returned for a refund.

 

GROF USA Points Minimums And Maximum

You cannot redeem Points for more than the total amount of your purchase. Points are not redeemable for cash.

 

GROF USA Points Balance

You can always check your GROF USA Point balance in your account page.

 

GROF USA Points Expiration

Points will expire 12 months from the date they were first earned. If your account has no qualifying activity in any 12-month period, all Points in their account will expire. Qualifying activity extends the expiration date of all unexpired Points in your account for 12 months from the date of the qualifying activity. Qualifying activity is defined as redeeming Points at the Shop or accruing points as defined in these Terms and Conditions.

Your Account page lists your Points balance history, which displays the dates your points were earned.

 

Reward Conditions

Rewards may be taxable, depending on the value of the item and the federal, state, and local tax laws applicable to Member. Members are solely responsible for reporting such items on their tax returns and paying any associated tax liability. Members may not assign or transfer any Rewards. GROF USA makes no warranty in any respect as to any Rewards, merchandise or service available within the Program.

 

Termination

GROF USA may, in its sole and absolute discretion, cancel, change, suspend, or modify any aspect of the Program and/or any Reward at any time, including the availability of any Reward. GROF USA may, in its sole and absolute discretion, terminate or suspend any Member’s participation in the Program for breach of these Loyalty Program Terms and Conditions, or for taking any actions that are inconsistent with the intent of these Loyalty Program Terms and Conditions. GROF USA reserves the right to terminate your GROF USA Pro account for inactivity. Your account may be deemed inactive and terminated without notice if: you have not had any point earning or redeeming activity for at least 24 consecutive months; your GROF USA Pro account has a current balance of zero points. GROF USA reserves the right at its sole discretion to prohibit any Member from participating in any aspect of the Program if GROF USA deems or suspects that such Member has engaged in or has attempted to engage in any of the following:(a) acting in violation of these Loyalty Program Terms and Conditions; or(b) damaging, tampering with or corrupting the operation of the Program or Site; or(c) acting with intent to annoy, harass or abuse any other person; or(d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity; or(e) activity deemed in the sole discretion of GROF USA to be generally inconsistent with the intended operation of the Program. Any decision GROF USA makes relating to termination or suspension of any Member’s participation in the Program shall be final and binding in all respects. GROF USA shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Loyalty Program Terms and Conditions or intent of these Loyalty Program Terms and Conditions.

 

Waiver

The Company’s waiver of any breach of these Loyalty Terms and Conditions by any Member will not constitute a waiver of any other prior or subsequent breach of these Terms and Conditions. The Company’s failure to insist upon strict compliance with these Loyalty Terms and Conditions by any Member will not be deemed a waiver of any rights or remedies GROF USA may have against that or any other Member. GROF USA may waive compliance with these Terms and Conditions in its sole discretion and may run promotions from time to time that provide enhanced benefits to select Members.

 

Limitation of Liability

IN NO EVENT WILL GROF USA DISTRIBUTORS, INC, ITS SUBSIDIARIES AND AFFILIATES, ITS FRANCHISEES OR LICENSEES, ANY PARTICIPATING PROPERTY, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE LOYALTY PROGRAM, THESE PROGRAM TERMS AND CONDITIONS, OR THE COMPANY’S OPERATION OF THE LOYALTY PROGRAM.

 

Indemnification

Members agree to indemnify, defend and hold GROF USA and its representatives and agents harmless from and against any and all third party claims, demands, liabilities, costs or expenses, including attorney’s fees and costs, arising from, or related to any breach by Member of any of these Loyalty Program Terms and Conditions or any violation by Member of applicable law.

 

Subject to Law

Membership in the Loyalty Program and the earning and redeeming of Points are subject to all applicable local laws and regulations. Membership in the Loyalty Program, Member benefits, Redemption and promotional Products and Services are offered in good faith; however, they may not be available if prohibited or restricted by applicable law or regulation in the United States or Member’s jurisdiction of residence. If any part of these Loyalty Terms and Conditions is held to be unlawful or unenforceable, that part will be deemed deleted from these Program Terms and Conditions in such jurisdiction and the remaining provisions will remain in force.

 

Governing Law and Venue

Any disputes arising out of or related to the Loyalty Program or these Program Terms and Conditions will be handled individually without any class action, and will be governed by, construed and enforced in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflicts of law rules. The exclusive jurisdiction for any claim or action arising out of or relating to the Loyalty Program or the Program Terms and Conditions may be filed only in the state or federal courts located in the Commonwealth of Virginia, United States.

 

Entire Agreement

These Terms and Conditions, together with any other rules, or regulations incorporated herein or referred to herein constitute the entire agreement between the Company and Members relating to the subject matter hereof, and supersede any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on the Loyalty Program website.
