GROF USA Terms & Conditions of Sale

The Terms and Conditions of Sale set forth below constitute the entire agreement between GROF USA Distributors, Inc (“Seller”) and Buyer, and apply to all transactions between Seller and Buyer unless otherwise specifically agreed to in writing by both parties. These Terms and Conditions supersede all prior agreements, negotiations, understandings, representations and warranties, whether written, oral or otherwise, and may not be modified except in writing signed by the parties. For greater certainty, the language of any document used by Buyer for communicating its order of goods and any Terms and Conditions that could be implied on the basis of trade custom, business efficacy or otherwise are expressly excluded.

1. Aceptance:

By accepting any part of the ordered goods, you are deemed to accept these Terms and Conditions of Sale. Any objections must be submitted in writing. The Seller's Terms and Conditions can be found on our website at www.grofusa.com.

2. Payment Terms:

Payment of 100% of the order value is required in advance, unless otherwise specified. Any unpaid balance may incur interest fees and storage costs. Buyer is responsible for all fees and expenses related to payment collection. Payment is considered realized when it is available to the Seller.

3. Prices

All prices are subject to change without notice, except for accepted orders. Taxes, transportation costs, duties, and additional charges are not included in quoted prices.

4. Order Review

Buyer must carefully review and confirm the accuracy of all order details, including product, price, quantity, payment, and delivery information. Seller will provide assistance based on the provided information, but Buyer is responsible for providing accurate details. Seller is not liable for mistakes arising from inaccurate or incomplete information. Modifications to approved Sales Orders are not allowed.

5. Design Changes

As a distributor, Seller is not responsible for design changes made by manufacturers to products or packaging.

7. Delivery Terms

Buyer must provide relevant information necessary for order fulfillment. Seller will schedule a delivery appointment within a specified timeframe. If delivery is unsuccessful due to Buyer's actions, re-delivery fees may apply. Shipping costs for areas outside our free-shipping zone will be calculated based on weight, volume, and destination. Buyer is responsible for inspecting products upon delivery for any visible damage or discrepancies. Delivery note or receipt will serve as proof of delivery. It is Buyer's responsibility to inspect the products upon delivery or when picking up to ensure that they are in a satisfactory condition without any obvious damage and delivered in the quantities expressed on the order. Buyer’s acknowledgment of product condition is presumed from the acceptance of delivery. Claims for visible damage must be made within 24 hours. For manufacturing defects, Buyer should contact the manufacturer's customer service for warranty claims.

8. Custom Made Products

Buyer must provide necessary information for designing custom-made products. Seller is not responsible for measurements provided by Buyer or for imperfections in walls, columns, or spaces. Buyer must provide necessary equipment for product transportation. Once delivered, the responsibility for the goods transfers to the Buyer. Custom-made products cannot be returned, refunded, or exchanged after the order is placed and approved.

9. Storage Fee

After 15 days from the official notification of product receipt at Seller's warehouse, a storage fee of $0.044 per day per cubic foot may be charged.

10. Waiver and Modification

No waiver or modification of these terms and conditions shall be effective unless it is in writing and signed by an authorized representative of the Seller.

11. Delay

Seller shall not be liable for any delay in order performance, delivery, or shipment caused by factors beyond its control. In such cases, the date of delivery or performance will be extended accordingly.

12. Cancellation and Return Policy

GROF USA is not responsible for any labor costs related to handling, installing, or uninstalling purchased items.

a.    General Returns:

Returns can be initiated within 30 days of receipt for a refund or exchange at www.grofusa.com/pages/returns (minus return shipping cost). Returns must meet specific criteria, including being in resalable condition, free from defects, not installed, in the original packaging (free from alterations), and not missing pieces. Returns will be inspected by Returns Department and once approved, full refund or store credit will be issued within 5 business days. Acceptance of products by any other than our Returns Department will not be considered as an approved return and refund will not be issued. Returns not accepted by our Returns Department will be considered final and not subject to revision, and will be returned for pick up at the original place of purchase.

Certain product categories, such as tiles, cast iron products, bathtubs, toilet and bidet seats, vanities, mirrors, medicine cabinets, shower doors, wooden doors, and kitchen cabinets, are not eligible for return/refund.

b.    Defective Returns:

Defective items can be returned within 30 days of receipt for a full refund, provided they have not been installed. If defects are discovered after installation, the buyer must follow the manufacturer's warranty procedure.

 

Cancellation of orders or portions thereof requires Seller's written consent and may be subject to cancellation charges. Special order items, products in the manufacturing process or ready for shipment, cannot be changed or canceled without written approval from Seller and payment of applicable charges. Returns must be approved by Seller and may be subject to a 25% restocking charge.

 

Additional fees may apply for returns based on the purchase method and location.

13. Material and Finishes

Specifications, weights, dimensions, and descriptions are subject to change without notice. Seller reserves the right to provide suitable substitutes for materials in case of shortages. Cosmetic blemishes that do not affect performance are not considered defects.

14. Warranty

Seller extends the manufacturer's assignable warranties to the Buyer. Seller makes no warranties beyond those provided by the respective manufacturers. For customized products, Seller warrants compliance with written specifications. Seller's liability is limited to repair, replacement, or price adjustment for non-conforming products.

15. LIMITATION OF WARRANTY

Except for the warranty stated above, Seller makes no other representation or warranty, express or implied, including merchantability or fitness for a particular purpose, regarding the products.

16. LIMITATION OF LIABILITY

Seller shall not be liable for any incidental, consequential, special, or indirect damages arising from this Agreement or suffered by any purchaser or end user of the products, whether arising in tort, contract, or otherwise.

17. Default

Seller has the right to refuse or cancel orders, delay shipments, or require advance payment if the Buyer defaults on payments or has inadequate financial condition.

18. Non-Assignment

Buyer cannot assign orders or rights and obligations without Seller's written consent.

19. Governing Law

These Terms and Conditions of Sale, as well as subsequent sales agreements, are governed by the laws of the Commonwealth of Virginia. The exclusive venue for any related suit is Fairfax, Virginia. Both parties waive their right to a trial by jury.

20. Certifications

All certifications and verifications related to products remain the property of Seller.

21. Disclosure of Information

Information, suggestions, or ideas transmitted to Seller are not deemed confidential unless agreed to in writing by Seller.
